Dangote Petroleum Refinery and Petrochemicals FZE is targeting an early December 2026 stock market debut following the extension of its N2.15 trillion initial public offering.
The refinery announced that its share subscription period, originally scheduled to close on October 13, will now end on October 27, 2026, following approval from Nigeria’s Securities and Exchange Commission (SEC).
The offer comprises 4.1 billion ordinary shares priced at N525 each, representing potential gross proceeds of N2.1525 trillion if fully subscribed, excluding any additional allotment arrangements.
According to the company’s revised timetable, applications will be collated by November 3, while the proposed basis of allotment is expected to be submitted to the SEC on November 10.
Regulatory clearance of the allotment is targeted for November 17, after which the refinery plans to announce allocations, process refunds and credit successful investors’ accounts with their shares.
The company expects trading to commence 15 business days after allotment clearance, placing its potential Nigerian Exchange debut in early December, provided the regulatory and settlement processes proceed as scheduled.
However, the timetable remains indicative, and the company has cautioned that the dates may change.
The extension is intended to broaden investor participation across African markets, particularly where prospective subscribers require additional time to complete account registration, identity verification and other regulatory requirements.
Dangote Refinery said it had received strong interest from eligible investors and was working to expand distribution channels and depositary receipt arrangements that could facilitate cross-border investment.
The additional subscription period could be particularly relevant to retail investors outside Nigeria, where differing securities regulations and market infrastructure have complicated participation in the offering.
The refinery is seeking to attract a broad shareholder base while raising equity capital to support its expansion plans, including a proposed increase in refining capacity to 1.4 million barrels per day.
For Nigeria’s capital market, the eventual listing could introduce one of the country’s largest industrial businesses to public equity investors and significantly expand the energy sector’s representation on the NGX.
However, the effect on market capitalisation and trading activity will depend on the final allotment, the number of shares admitted to trading and the market price after listing.
The revised timetable also provides greater clarity for investors who have already submitted applications.
Successful applicants are expected to receive their share allocations following regulatory approval, while surplus funds or payments relating to rejected applications are scheduled for refund within five business days of the allotment date.
Shares are expected to be credited to investors’ Central Securities Clearing System accounts within 15 business days after clearance, alongside the proposed commencement of trading.
The company has not disclosed final subscription totals or the proportion of shares requested by Nigerian and international investors.
Consequently, the extension should not be interpreted as evidence of either undersubscription or oversubscription without confirmed allocation and demand figures.
Investors considering participation are advised to use only SEC-approved subscription channels and review the offer prospectus before making investment decisions.
With the closing date now set for October 27, attention will shift from the subscription process to regulatory allotment approval and the refinery’s anticipated entry into Nigeria’s public equity market in December.
