Sterling HoldCo Returns to NGX at N77 After 10-for-1 Share Reconstruction

Sterling Financial Holdings Company Plc has returned to trading on the Nigerian Exchange Limited (NGX) following the completion of a share capital reconstruction that reduced its outstanding shares from 68.50 billion units to 6.85 billion units.

The NGX listed 6,850,233,171 reconstructed ordinary shares of 50 kobo each at N77 per share on Thursday, October 8, 2026, paving the way for the lifting of the suspension on the company’s shares.

The reconstruction effectively consolidated every 10 existing shares into one share, substantially reducing the number of Sterling HoldCo shares in issue without, by itself, representing the creation of new economic value for shareholders.

Before the exercise, Sterling HoldCo had 68,502,331,708 ordinary shares listed on the NGX.

Those shares were delisted on October 8 and replaced with the 6.85 billion reconstructed shares as part of the company’s capital restructuring.

Trading in Sterling HoldCo shares had been suspended effective August 31, 2026, to enable the company to complete the reconstruction process.

The exercise followed shareholders’ approval at the company’s Annual General Meeting held on June 6, 2026, as well as the receipt of a no-objection from the Securities and Exchange Commission.

With the reconstruction completed, the NGX subsequently lifted the suspension, allowing trading in Sterling HoldCo shares to resume.

The N77 post-reconstruction reference price also needs to be viewed in the context of the 10-for-1 consolidation.

Because every 10 existing shares were combined into one reconstructed share, the number of shares held by each investor was reduced proportionately while the value represented by each individual share was correspondingly adjusted.

For example, an investor holding 10,000 shares before the reconstruction would ordinarily hold 1,000 reconstructed shares afterward, subject to the company’s treatment of fractional entitlements.

The restructuring therefore changes the company’s share count and per-share price structure rather than automatically increasing the underlying value of an investor’s holding.

Sterling HoldCo’s return to the NGX brings to an end the trading suspension required to implement the exercise and leaves the financial services group with approximately 6.85 billion ordinary shares in issue at the reconstructed price of N77 per share.
