Tantalizers Shareholders Approve Tade Ogidan’s Appointment as Director

Shareholders of Tantalizers Plc have approved the appointment of Tade Ogidan as a director of the company.

The decision was taken at Tantalizers’ 28th Annual General Meeting, held virtually on July 16, 2026.

Shareholders also received and approved the company’s audited financial statements for the year ended December 31, 2025, alongside the reports of the directors, external auditors and statutory audit committee.

Bose Ayeni, Bamidele Oke and Israel Ovirih, who retired from the board by rotation, were re-elected as directors.

The shareholders authorised the board to determine the remuneration of Tantalizers’ external auditors for the 2026 financial year.

Approval was also granted for the directors to set the remuneration of non-executive directors for the year ending December 31, 2026.

The meeting acknowledged the disclosure of the remuneration paid to the company’s managers in accordance with Section 257 of the Companies and Allied Matters Act 2020.

Tantalizers Constitutes Audit Committee

Tantalizers appointed a new Statutory Audit Committee that will serve until the conclusion of the company’s next annual general meeting.

Bode Akinboye and Bose Ayeni will represent the board on the committee as non-executive directors.

Peter Eyanuku, Babatunde Elekede and Abayomi Adebayo were appointed as shareholders’ representatives.

The committee will oversee the company’s financial reporting processes, internal controls and engagement with external auditors.

Shareholders also renewed the general mandate allowing Tantalizers to conduct recurring transactions with related parties or interested persons where such dealings are required for normal business operations.

The mandate covers transactions of a revenue or trading nature and provides the company with authority to continue operational dealings with connected entities, subject to applicable disclosure and governance requirements.

The resolutions retain key members of the board while introducing Ogidan to the company’s leadership as Tantalizers continues repositioning its operations and corporate strategy.

The resolutions were announced in a regulatory filing dated July 20 and signed by Company Secretary Olamide Babawale-Mo.
