Greif Nigeria Plc to Distribute ₦399.95m to Shareholders Following Completion of Liquidation

Greif Nigeria Plc has announced the completion of its members’ voluntary winding-up process, paving the way for the disbursement of ₦399.95 million to shareholders as the final distribution from the company’s realised assets.

The development follows the submission of the Liquidator’s final report and audited liquidation accounts for the period ended September 30, 2025.

According to the Liquidator, Inam Wilson, SAN, the liquidation exercise began on January 31, 2022, and involved a full conversion of the company’s assets, which consisted primarily of cash balances totalling ₦542.67 million.

All creditors were notified through newspaper publications, and verified liabilities, taxes, trade payables, and liquidation expenses, amounting to ₦142.72 million were fully settled in line with statutory requirements.

The remaining balance of ₦399,953,008.00 has been approved for distribution to shareholders, representing a final payout of ₦9.00 per share.

Disbursement commenced on November 24, 2025, through the company’s registrars, All Crowns Registrars Limited.

At the Final General Meeting held on November 10, 2025, shareholders unanimously approved the audited liquidation accounts and adopted the Liquidator’s report.

Documentation from the meeting, including the minutes and final accounts, has been filed with the Corporate Affairs Commission (CAC) pursuant to Section 631(3) of the Companies and Allied Matters Act (CAMA) 2020.

Following the CAC’s review and issuance of the statutory Notice of Dissolution, Greif Nigeria Plc will be formally dissolved three months thereafter, in accordance with Section 631(4) of CAMA.

Wilson confirmed that all financial, legal, and regulatory obligations have been discharged, adding that no outstanding liabilities remain.

With the conclusion of the liquidation and commencement of payout, Greif Nigeria Plc is now in the final stage of exiting the NGX market ecosystem.
